Taxscribe End User License Agreement
Last updated September 16, 2026
This End User License Agreement ("EULA") is a binding agreement between the person or organization that holds a Taxscribe account, has accepted an Ordering Document for the Services, or for which trial access has been provisioned ("you" or "Customer") and Reason Consulting Corporation, a North Carolina corporation with its principal office at 2820 Selwyn Ave, STE 856, Charlotte, NC 28209, United States ("Company," "we," "us," or "our"), for the Taxscribe web application and related software made available at https://www.taxscribe.com (the "Application").
By creating an account, accepting an Ordering Document, or using the Application, Customer agrees to this EULA. If you do not agree, do not access or use the Application. An individual who accesses the Application with credentials provisioned by a Customer does so as an Authorized User of that Customer and not as a party to this EULA; an Authorized User agrees to comply with Section 2.3 and the Acceptable Use Policy while using the Application, and an Authorized User's acceptance does not make the Authorized User or the Authorized User's employer a Customer and is not a representation of authority to bind any organization.
This EULA supplements the Taxscribe Terms and Conditions (the "Terms"), which are posted on the Website and incorporated into this EULA by reference. Capitalized terms used but not defined in this EULA, including "Services," "Content," "Marks," "Customer Data," "Authorized Users," "Pro Customer," "Gov Customer," "Credits," "Feedback," and "Ordering Document," have the meanings given in the Terms.
Order of precedence. In the event of a conflict among the documents governing your use of the Application, the following order of precedence applies: (1) a signed written agreement or accepted Ordering Document between your organization and us, including any Data Processing Addendum executed as part of it; (2) the Terms and Conditions; (3) this End User License Agreement; and (4) the Acceptable Use Policy, the Data Processing Addendum where not executed as part of an Ordering Document, and our other posted policies, including the Privacy Policy, Cookie Policy, Disclaimer, Security Overview, and Accessibility Statement. Where your organization has a separate written agreement with us, it controls over this EULA, and an individual Authorized User's acceptance of this EULA does not modify, supersede, or waive it.
1. The Application
The Application is a web-based tax listing and data management platform offered in two editions. Taxscribe Pro lets tax professionals and firms filing on behalf of their clients, businesses filing for themselves, and high-volume filers using bulk upload and application programming interface integrations prepare, manage, and electronically submit business personal property listings, extension requests, and related filings and supporting schedules to participating state and local tax jurisdictions. Taxscribe Gov lets those jurisdictions receive, review, manage, and export the listings and filings submitted to them and manage their listing data, within any usage limits stated in their Ordering Document.
The Application is a software tool. Company is not a tax preparer, tax advisor, accountant, appraiser, assessor, or law firm. The Application does not prepare your return, determine what property must be listed, what it is worth, how it should be classified or depreciated, or what tax is due, and it does not determine any jurisdiction's assessment, valuation, penalty, or other decision. A jurisdiction's acceptance, rejection, processing, and review of a filing are the jurisdiction's own acts under its own law, and we do not guarantee that any jurisdiction will accept, process, or timely receive a filing submitted through the Application. You remain responsible for the accuracy, completeness, and timeliness of every filing you or your Authorized Users submit and for meeting the deadlines that apply to you or your clients. For a Gov Customer, the Application's outputs are informational and are intended to be evaluated by your own officials under your own law, policy, and procedures.
2. Scope of License
2.1 Grant. Subject to your compliance with this EULA, the Terms, and any Ordering Document, we grant you a non-exclusive, non-transferable license, revocable only as provided in Section 14 of the Terms, during the term of your account or subscription to access and use the Application, within any usage limits stated in your Ordering Document, solely for your internal business or governmental purposes, which include: for a Pro Customer, preparing and submitting listings and related filings for yourself and, where you are a tax professional, service provider, or other organization acting for others, for your clients in the ordinary course of your business, including for a fee, receiving and managing the jurisdiction communications and records that relate to those filings, and using the application programming interfaces, bulk-loading, integration, and export functions that we provide within the Application or approve in writing, through the keys we issue to your account and within their published rate limits; and for a Gov Customer, the performance of your official listing, assessment, audit, discovery, collection, and compliance functions, the provision of those functions to the constituents and jurisdictions you serve, and the exchange of information with any other government entity with which you share information under law, interlocal agreement, or a data-sharing arrangement authorized by your law. You may permit your Authorized Users, including, for a Gov Customer, contract auditors and other service providers engaged by you and acting within the scope of their duties for you, to use the Application under this license, and you are responsible for their compliance with it.
2.2 Updates. We may provide updates, upgrades, patches, and new versions of the Application from time to time. Updates are part of the Application and are governed by this EULA. We will not materially reduce the core functionality of the Application during a committed subscription term without your consent.
2.3 Restrictions. Except as expressly permitted by this EULA, the Terms, your Ordering Document, or applicable law that cannot be excluded by agreement, you will not, and will not permit any third party to: (a) sell, rent, lease, sublicense, distribute, or otherwise make the Application available to anyone other than your Authorized Users, or use it to provide services to any person other than, for a Pro Customer, your clients and the other persons for whom you are authorized to file, and, for a Gov Customer, your constituents, the jurisdictions you serve, and the other government entities described in Section 2.1; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, forms logic, or validation rules of the Application, except to the extent that applicable law expressly permits it notwithstanding this restriction, provided that observing, evaluating, and acting on outputs in the ordinary course of filing, listing, and review work is not an attempt to derive forms logic or validation rules; (c) copy, modify, or create derivative works of the Application, provided that you may export, store, copy, and use your own Customer Data and the outputs generated from it in any manner consistent with your law; (d) remove, alter, or obscure any proprietary notice in the Application; (e) share credentials or the authentication tokens the Application issues to your credentials, or provision more named Authorized Users than the license limits stated in your Ordering Document, where you have one, it being understood that exceeding a usage limit stated in your Ordering Document is addressed under Section 6 of the Terms; or (f) use the Application in violation of the Acceptable Use Policy.
2.4 Third-party components. The Application may include or rely on third-party software, hosting, payment processing, or data services. We are responsible for licensing the third-party components we include in the Application. Where a component's terms impose conditions on end users, we will identify the component and those conditions in the Application's documentation or in your Ordering Document, and no third-party terms bind you unless so identified. Card payments for Taxscribe Pro are processed by Stripe, Inc. under Stripe's terms and privacy policy as Section 5 of the Terms provides, and we do not receive or store your full card number. Customer Data is transmitted to a third-party service only as disclosed in the subprocessor list described in Section 7 of the Data Processing Addendum, and to the jurisdictions you designate as the Filing transmission paragraph of Section 8 of the Terms provides.
2.5 Amendments. We may revise this EULA on the same notice and with the same protections stated in the Terms: at least thirty (30) days' notice of any material change; for Customers with a paid subscription or an Ordering Document, no material change applies until the start of the next renewal term unless you agree earlier or the change is required by law; and for Pro Customers who hold purchased Credits and have no Ordering Document with a committed term, a material change applies thirty (30) days after notice, and if you do not agree to it, you may either continue to use your remaining Credits under the prior version for sixty (60) days after the change takes effect or stop purchasing Credits and, within that period, request a refund of any unused Credits purchased within the thirty (30) days before the notice, as the Amendments paragraph of the Terms provides. If you do not agree to a material change, your remedy is otherwise to decline to renew or to cancel as provided in Section 6 of the Terms, effective at the end of your then-current paid term.
3. Technical Requirements
The Application is delivered as a hosted web application and requires a current version of a modern web browser and a reliable internet connection, and, for integrations with your own systems, the application programming interface keys we issue to your account and software capable of using them within the published rate limits. We may publish current browser, connectivity, and integration requirements within the Application or on the Website and may update them from time to time.
4. Maintenance and Support
Maintenance, support, and any service level commitments for the Application, including hours, channels, response targets, and remedies, are as stated in your Ordering Document. Where you have no Ordering Document or it does not address support, we will provide email support to your designated administrators during our support hours, which are 8:00 a.m. to 6:00 p.m. Eastern Time, Monday through Friday, excluding Company holidays, with extended hours at our discretion during peak periods, and with no response-time commitment. All support is provided by our own employees located in the United States; we do not use call centers or offshore support. We will use reasonable efforts to schedule planned maintenance outside normal business hours and away from listing and extension deadlines in the jurisdictions the Application supports, and to give advance notice within the Application or by email.
5. Customer Data and Use of Data
5.1 Customer Data is governed by Section 8 of the Terms (Customer Data; Ownership and Confidentiality), including its Filing transmission paragraph, which is incorporated into this EULA. As between you and us, you own Customer Data; we hold it as a service provider; when you or your Authorized Users submit a filing through the Application, you direct us to deliver it to the jurisdiction you designate, and that delivery is a disclosure you have directed and not a sale or a breach of confidentiality; we do not sell Customer Data; we do not use Customer Data for advertising or marketing; we do not use Customer Data to train, tune, or improve any third-party or general-purpose model, and we use your Customer Data to configure and tune the Services only for your own account; we engage third-party model providers only under zero-data-retention terms; and we will not use it or information derived from it, including the fact that any business, taxpayer, or filer has or has not filed through the Application, in, or make it available to, any audit engagement, bid, or proposal of Company or its affiliates, as stated in the Data Firewall provision of that Section.
5.2 Personnel access. Our personnel cannot view your Customer Data through the Application unless your designated administrator invites our support personnel into your organization's account, which you control and may revoke; apart from that, access is limited to United States-based production engineers with privileged database access, used only as Section 8 of the Terms permits and subject to written confidentiality obligations.
5.3 Reserved right to review. We may access Customer Data only as the Reserved right to review paragraph of Section 8 of the Terms permits, subject to the confidentiality obligations in Section 8 of the Terms. We verify compliance with this EULA through account and usage metadata rather than by reviewing the content of Customer Data.
5.4 Technical and usage data. We may collect and use technical information about the performance and use of the Application, such as feature usage, error logs, browser and device type, and response times, in a form that does not identify you, a taxpayer, a business, or an individual, to operate, secure, support, and improve the Application. Technical and usage data does not include the content of any record, and error and diagnostic logs are scrubbed of Customer Data before any transmission outside the production environment. Account Information and technical and usage data are not Customer Data. Our Privacy Policy describes this collection in more detail.
5.5 AI-Assisted Features. Some features of the Application use artificial intelligence and machine learning models, including models provided by third parties, as Section 1 of the Terms describes; their output is decision support and may be inaccurate, incomplete, or inconsistent, and you and your Authorized Users remain responsible for any decision or action taken on it. Prompts and outputs are Customer Data, and third-party model providers are engaged only under zero-data-retention terms as the Data Processing Addendum provides.
6. Feedback
Feedback you provide about the Application is governed by Section 9 of the Terms. Feedback does not include Customer Data, and nothing in this EULA grants us any right in Customer Data.
7. Liability
Our liability, and yours, under or in connection with this EULA is governed by Section 20 of the Terms (Limitations of Liability), including the limitation of aggregate liability to the fees paid in the twelve (12) months preceding the event giving rise to the cause of action and the exclusions from that limitation for gross negligence, willful misconduct, fraud, and any liability that cannot be limited under applicable law; our indemnification obligations under Section 21 of the Terms are subject to that limitation. Nothing in this EULA expands or duplicates that liability.
8. Warranty
8.1 We warrant that the Application, as delivered by us, does not contain any spyware, trojan horse, virus, worm, time bomb, or other malicious code intentionally introduced by us. If you believe the Application breaches this warranty, notify us at contact@reason.consulting with a description of the issue; we will investigate promptly and, if the warranty has been breached, remediate the affected component at no charge as your sole and exclusive remedy for breach of this warranty. Nothing in this Section 8.1 limits our confidentiality obligations under Section 8 of the Terms or expands our liability beyond Section 20 of the Terms.
8.2 Except for the warranty in Section 8.1 and any warranty stated in your Ordering Document, the Application is provided AS-IS and AS-AVAILABLE, and the disclaimer in Section 19 of the Terms applies. We do not warrant that the Application will be error-free or uninterrupted, that any form, calculation, validation, or other output will be accurate or complete, or that any jurisdiction will accept, process, or timely receive a filing submitted through the Application.
8.3 Defect reporting. Please report suspected defects to contact@reason.consulting or through the support channel stated in your Ordering Document, with sufficient detail for us to reproduce the issue. We will acknowledge and address reported defects in accordance with the support terms in your Ordering Document or, where none apply, using reasonable efforts.
9. Legal Compliance
You represent that you are not located in a country that is subject to a United States government embargo or that has been designated by the United States government as a terrorist-supporting country, and that you are not listed on any United States government list of prohibited or restricted parties. You will comply with all laws applicable to your use of the Application, including laws governing the confidentiality of tax and taxpayer information.
10. Contact Information
Reason Consulting Corporation, 2820 Selwyn Ave, STE 856, Charlotte, NC 28209, United States; contact@reason.consulting.
11. Termination
This EULA is effective until terminated. Termination of the Terms or of your account or subscription terminates this EULA. The notice and cure periods, suspension rights, termination rights, including a Gov Customer's rights to terminate for convenience and for non-appropriation and the Pro-only no-cause termination right, refund provisions, including the refund of the purchase price of unused Credits where we terminate a Pro Customer without cause under Section 14 of the Terms, and your sixty (60) day post-termination right to request return of your Customer Data are as stated in Sections 8 and 14 of the Terms and apply equally to this EULA. On termination, you and your Authorized Users must cease using the Application, subject to those export rights. Sections 2.3, 5, 6, 7, 12, 13, 14, and 15 survive termination.
12. Intellectual Property Indemnification
Our obligation to defend you against third-party claims that the Application infringes a United States patent, copyright, or trademark or misappropriates a trade secret, the exclusions from that obligation, the remedies available to us, and your obligations of notice, control, and cooperation, are as stated in Section 21 of the Terms (Indemnification, By Company), which is incorporated into this EULA and states our entire liability and your exclusive remedy for any such claim.
13. Applicable Law
This EULA is governed by the laws of the State of North Carolina, without regard to its conflict of law principles, and disputes are resolved as provided in Section 17 of the Terms (Dispute Resolution), including its informal negotiation requirement, its arbitration agreement and class action waiver for Customers that are not government entities, its exceptions for small claims and equitable relief, and its one-year claims period, in each case subject to Section 14 of this EULA.
14. Government Users
If you are a federal, state, or local government entity, or an agency, department, or instrumentality of one, the following applies notwithstanding any other provision of this EULA:
- Sections 7, 12, and 13 of this EULA, Sections 16, 17, 20, and 21 of the Terms, and any other provision requiring you to indemnify us, limiting our liability, specifying governing law or venue, or requiring arbitration or a particular forum, apply to you only to the extent permitted by the laws applicable to you. Where your law requires that disputes be resolved in the courts of your state or under your state's law, that requirement controls, and disputes not resolved informally will be brought in a court of competent jurisdiction in your state.
- Nothing in this EULA waives any sovereign or governmental immunity available to you.
- Your payment obligations are subject to the appropriation of funds and to the procurement and fiscal laws applicable to you. If funds are not appropriated or otherwise made available for a subsequent fiscal period, you may terminate your subscription effective at the end of the last funded period by giving us written notice within thirty (30) days after your governing body adopts a budget that does not fund the Services, without penalty and without any obligation to repay any multi-year discount or other concession applied to periods already paid, provided that you pay for Services delivered through the effective date of termination.
- Any written agreement between your entity and us, including an Ordering Document, controls over this EULA to the extent of any conflict.
- Your consent to electronic communications and signatures under Section 23 of the Terms does not waive any signature, approval, or record retention requirement that you cannot waive under applicable law.
- Customer Data that constitutes public records under your law remains subject to your public records, retention, and confidentiality laws, and Section 5 of this EULA and Section 8 of the Terms are to be read consistently with them.
- Your Authorized Users are not parties to this EULA and incur no personal obligation or liability under it by reason of accessing or using the Application within the scope of their duties for you.
Nothing in this Section 14 is intended to limit any right you have under this EULA; where a provision of this EULA is more favorable to you than this Section, that provision applies.
15. Miscellaneous
15.1 Severability. If any provision of this EULA is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
15.2 Amendments. Except as provided in Section 2.5, no amendment to this EULA is effective unless it is in writing and signed by both parties or set out in an accepted Ordering Document.
15.3 Conflict of interest and data firewall. The conflict of interest disclosure in Section 25 of the Terms and the Data Firewall provision in Section 8 of the Terms apply to your use of the Application and are incorporated into this EULA, including your acknowledgment that you are responsible for determining whether any approval, waiver, information barrier, or further disclosure is required under the law and procurement rules applicable to you.
15.4 Entire agreement. This EULA, the Terms, the documents incorporated into them, and your Ordering Document constitute the entire agreement between you and us regarding the Application, subject to the order of precedence stated above.
